Terms of Use & End User License Agreement
These Terms of Use and End User License Agreement ("Terms") are a binding agreement between you and FarmConnect LLC ("FarmConnect," "we," "us") governing your use of the FarmConnect app and services (the "Service"). By creating an account, listing a product, submitting a reservation, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What FarmConnect is (and isn't)
FarmConnect is a listings and pickup-reservation platform that connects local Producers (farmers, food producers, artisans) with Consumers. FarmConnect is a technology platform only. We do not grow, make, inspect, handle, sell, or deliver any products, and no payments are processed through the Service — Consumers and Producers transact directly, in person, at pickup. FarmConnect is not a party to any transaction between a Consumer and a Producer.
2. License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, reverse-engineer, resell, or misuse the Service or attempt to access it in unauthorized ways.
3. Eligibility & accounts
You must be at least 18 years old (or the age of majority where you live) to be a Producer. You're responsible for keeping your login credentials secure and for activity under your account. Producers are responsible for the accuracy and legality of everything they list.
4. User-generated content
Producers and Consumers may submit content — including product listings, descriptions, photos, profile details, notes, and reports ("User Content"). You retain ownership of your User Content, and you grant FarmConnect a non-exclusive, worldwide, royalty-free license to host, store, display, and distribute it as needed to operate the Service (for example, showing your listing and photos to shoppers). You represent that you have the rights to the content you submit and that it does not infringe anyone's rights or violate any law.
5. Zero tolerance for objectionable content and abusive behavior
There is no tolerance for objectionable, illegal, or abusive content or conduct on FarmConnect. You agree not to post, list, or do any of the following, and doing so is a material violation of these Terms:
- Illegal, prohibited, recalled, unsafe, counterfeit, or misrepresented goods; or listings that are deceptive, fraudulent, or false (including false claims about a product).
- Content that is harassing, hateful, threatening, defamatory, obscene, sexually explicit, or that exploits or endangers minors.
- Content that infringes intellectual property or privacy rights.
- Spam, scams, malware, or attempts to harm or defraud other users.
- Harassment, threats, or abuse directed at any user.
Reporting and enforcement. Any user can report a listing or user from within the app. We aim to review reports of objectionable content and act within 24 hours — which may include hiding or removing the content and warning, suspending, or terminating the responsible account. We may remove content and suspend or terminate accounts at our discretion, with or without notice, to protect users and the community. A removed listing may be reinstated if a review finds no violation. By using the Service you acknowledge this zero-tolerance policy and agree that violations may result in immediate removal of content and termination of access.
6. Producer responsibilities & disclaimers
Producers are solely responsible for their products, their accuracy, labeling, food safety, licensing, and legal compliance. Products listed on FarmConnect have not been evaluated, inspected, or approved by the U.S. Food and Drug Administration (FDA) or any other regulatory agency unless explicitly stated by the individual Producer. FarmConnect bears no liability for any product or for any transaction between a Consumer and a Producer.
7. Consumer responsibilities
Consumers are responsible for evaluating Producers and products, for arranging and completing pickup and payment directly with the Producer, and for their own safety. FarmConnect does not guarantee any product, Producer, availability, price, or outcome.
8. Termination
You may stop using the Service at any time, and Producers may delete their account in-app. We may suspend or terminate your access for any violation of these Terms or to protect the Service or its users.
9. Disclaimers & limitation of liability
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FARMCONNECT DISCLAIMS ALL WARRANTIES AND WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OR FOR ANY PRODUCT OR TRANSACTION BETWEEN USERS.
10. Copyright and DMCA takedown
We respect intellectual property and require users to do the same. If you believe content on FarmConnect (such as a product photo, image, or listing) infringes your copyright, send a written notice to farmconnectsupport@proton.me that includes: (1) your physical or electronic signature; (2) identification of the copyrighted work; (3) identification of the allegedly infringing material and where it appears in the Service; (4) your contact information; (5) a statement that you have a good-faith belief the use is not authorized; and (6) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or authorized to act on their behalf. We will remove or disable access to infringing content and will, in appropriate circumstances, terminate the accounts of repeat infringers. A user whose content is removed may submit a counter-notice.
11. Dispute resolution; arbitration; class-action waiver
Except where prohibited by law, you and FarmConnect agree to resolve any dispute arising out of or relating to these Terms or the Service through binding individual arbitration, and you and FarmConnect each waive the right to a jury trial and the right to participate in a class, collective, or representative action, except that either party may bring qualifying claims in small-claims court and may seek injunctive relief for intellectual-property misuse.
12. Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules.
13. Subscriptions (Pro membership)
FarmConnect offers an optional paid Pro membership for Producers, billed securely through our payment processor (Stripe) on a recurring basis. The following terms apply:
- Auto-renewing: Pro is a monthly subscription that automatically renews at $9.99/month and is charged to your payment method each billing period until you cancel. We disclose the price and that it renews monthly, and obtain your affirmative consent, before you are charged.
- Cancel anytime: You may cancel at any time through your subscription management portal (or by contacting us). Cancellation is as easy as signing up.
- Access through the paid period: When you cancel, your Pro features remain active until the end of the period you have already paid for, and then your account returns to the Free plan. We do not provide prorated or partial-month refunds for the unused portion of a billing period, except where required by law.
- Price changes: We may change the subscription price; we will give notice before any change takes effect, and price changes apply to the next billing period.
- Failed payments: If a renewal payment fails, we may retry and may downgrade the account to Free until payment is resolved.
- No effect on the no-payment marketplace: Pro is a subscription for Producer tools and visibility only. It does not change the fact that FarmConnect processes no payments for goods — Consumers still pay Producers in person at pickup.
